Terms of Use

By accessing or using ZoeAtlas (the "Service"), you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

ZoeAtlas is operated by ZoeAtlas ("we", "us", "our"), a company organized under the laws of the State of Wyoming, USA. You can reach us at legal@zoeatlas.ai.

You must be at least 18 years old and located in the United States or Canada to create an account or list a business. By using the Service you represent that you meet these requirements.

You consent to receive all communications, agreements, and notices from us electronically (by email, in-app message, or posting on the Service) and agree that clicks, taps, and account actions constitute your electronic signature under the US E-SIGN Act and equivalent Canadian legislation. You may withdraw this consent by closing your account.

• You must provide accurate, current information when creating an account.
• You are responsible for safeguarding your credentials and for all activity under your account.
• One person per account. Sharing accounts is not permitted.
• Notify us immediately of any unauthorized use.

By creating or claiming a listing you represent and warrant that:

• You are the owner, an authorized officer, or a written agent of the business, with authority to manage its listing.
• All information (name, address, hours, services, photos) is accurate and not misleading.
• You have the right to use any photos, logos, or other content you upload.

6.1 Ownership verification. ZoeAtlas may verify ownership at any time through documentation such as business registration, domain ownership, an official email at the business's domain, a mailed verification code, phone callback, or a brief video verification. If we cannot verify ownership within 14 days of a request, we may suspend or remove the listing and disable related paid features without refund for the disputed listing.

6.2 One business = one listing = one authorized owner. Duplicate, fraudulent, or unauthorized listings will be removed, and the responsible account may be banned. Submitting a listing for a business you have no relationship with is a material breach of these Terms.

We may edit, suspend, or remove listings that violate these Terms or our policies.

• Reviews must reflect your honest first-hand experience.
• No defamation, harassment, hate speech, spam, paid reviews, or impersonation.
• You retain ownership of your content but grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, translate, reformat, and distribute it as part of the Service.
• We may moderate or remove content at our discretion as described in our review policy.

By creating an account you consent to receive the communications described below at the email address, phone number, and devices associated with your account. Where Canadian anti-spam legislation (CASL) applies, you provide your express consent to receive commercial electronic messages from us; this consent may be withdrawn at any time using the unsubscribe link in any marketing message.

• 8.1 Transactional and service messages (account, security, billing, listing moderation, support replies, verification codes, lead notifications, review-invite confirmations) — required while your account is active and cannot be opted out without closing the account.
• 8.2 Service-related notifications (review invites you trigger, claim and verification reminders, weekly insights digests, partner perk reminders) — opt out per channel from your dashboard.
• 8.3 Marketing (product updates, growth tips, partner announcements) — sent only with your consent (or where allowed by law on an opt-out basis). Every marketing email contains a one-click unsubscribe link.
• 8.4 SMS / TCPA notice. Where you provide a mobile number for verification or notifications, message and data rates may apply. Reply STOP to cancel and HELP for help. Frequency varies. Consent to receive SMS is not a condition of any purchase.
• 8.5 Push and in-app notifications are managed from your dashboard and from your browser or device settings.
• 8.6 Sender identification. Email is sent from @zoeatlas.ai. SMS is sent from our verified sender ID. We will never ask for your password by email or SMS.

• Paid subscriptions (Growth, Pro) and one-time event upgrades are billed through Stripe.
• Subscriptions renew automatically at the end of each billing period at the then-current rate.
• You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period.
• We may change pricing with at least 30 days' notice for the next billing cycle.
• 9.1 Listing limits. Each plan includes 1 listing. Additional listing slots are available as a paid add-on: $5/month per extra listing on Growth, $3/month per extra listing on Pro. Business Pro listings additionally support up to 5 physical locations on a single listing and include photos & videos.
• 9.2 7-day refund window. If you are a new subscriber and request a refund within 7 days of your first paid charge by emailing billing@zoeatlas.ai, we will refund that initial charge and downgrade your account to Free. Outside that window, and except where required by law, fees are non-refundable for partial periods.

We perform identity and credential checks on professionals listed in the "Pros" section on a best-effort basis. Verification is a helpful signal but is not a guarantee of competence, licensure, or fitness for any particular task. You are responsible for your own due diligence before hiring any professional.

Event organizers are solely responsible for the events they post — accuracy, legality, ticketing, refunds, safety, and conduct on-site. ZoeAtlas is not a party to any event.

• Scraping, crawling, or bulk-extracting data without our written permission.
• Impersonating any person or business.
• Listing illegal goods or services.
• Interfering with the operation of the Service or its security features.
• Using the Service to send spam or unsolicited messages.

The ZoeAtlas name, logo, and visual identity are our property. You may not use them without written permission. User content remains owned by the user, subject to the license described in Section 7.

13.1 Third-party names and marks. Business names, logos, and other marks of third parties appearing in the directory remain the property of their respective owners. We use business names nominatively, only to identify the business in our directory — no sponsorship, endorsement, partnership, or affiliation is claimed or implied. Owners may send a DMCA notice or use the "Remove or correct this listing" link on any listing page to request removal.

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a written notice to our designated DMCA agent that includes the elements required by 17 U.S.C. § 512(c)(3):

We may remove allegedly infringing content and terminate repeat infringers in appropriate circumstances. Misrepresentations in a takedown notice may result in liability under 17 U.S.C. § 512(f).

To run the Service we rely on trusted third-party providers — including payments (e.g. Stripe) and SMS delivery (e.g. Twilio). Your use of the Service is also subject to their terms and privacy policies, and we are not responsible for their independent acts or omissions.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that listings, reviews, or any other content are accurate, complete, or up to date. ZoeAtlas is a directory; we are not a party to any transaction between users and businesses.

16.1 Unclaimed listings & AI-assisted summaries. Listings marked "Unclaimed" are factual references compiled from publicly available sources and have not been verified by the business. AI-assisted summaries on any listing are clearly labeled and may contain inaccuracies. None of this content constitutes an endorsement, recommendation, or representation by ZoeAtlas. See Section 24.

To the maximum extent permitted by law, ZoeAtlas and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim or (b) USD $100. Some jurisdictions do not allow certain limitations of liability — in those jurisdictions our liability is limited to the minimum extent permitted by law.

You agree to indemnify and hold harmless ZoeAtlas, its affiliates, and its personnel from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion, with or without notice. Sections that by their nature should survive termination (including Sections 7, 13–18, 20, and 23) will survive.

Please read carefully — this section affects your legal rights.

20.1 Agreement to arbitrate. Except as provided below, you and ZoeAtlas agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in English, by a single arbitrator, in the county where you reside or by video at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.

20.2 Class-action waiver. You and ZoeAtlas agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

20.3 Small-claims carve-out. Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction in lieu of arbitration.

20.4 30-day opt-out. You may opt out of this Section 20 by emailing legal@zoeatlas.ai with the subject line "Arbitration Opt-Out" within 30 days of first creating your account, including your full name and the email associated with your account. Opting out does not affect any other part of these Terms.

20.5 Where prohibited. This Section 20 does not apply to the extent it is prohibited by the law of the jurisdiction where you reside. Residents of the Province of Quebec are not bound by this Section 20 — see Section 22.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs Section 20. For any Dispute not subject to arbitration, you and ZoeAtlas submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, except where local consumer-protection law requires otherwise.

If you are a consumer residing in the Province of Quebec, nothing in these Terms limits your rights under the Quebec Consumer Protection Act or other applicable Quebec law. The arbitration and class-action waiver in Section 20 and the governing-law and venue provisions in Section 21 do not apply to you to the extent they conflict with mandatory Quebec law. You may bring proceedings in the courts of your district of residence in Quebec.

• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and ZoeAtlas regarding the Service.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control.

ZoeAtlas operates as a factual business directory. To make the directory useful from day one, we may create listings for businesses based on publicly available sources — including business websites, public social profiles, public business registries, and partner feeds — before the owner has claimed them.

• Seeded listings are marked "Unclaimed" and are factual references only. They are not an endorsement, partnership, sponsorship, or representation by the business, and no affiliation with ZoeAtlas is claimed.
• We use the business name and address nominatively, only to identify the business. No trademark license is granted or implied. See §13.1.
• Free claim, edit, or removal at any time. The owner (or an authorized representative) can take over the listing for free via the Claim flow, request a correction, or request full removal — directly from the listing page or by emailing removals@zoeatlas.ai. Verified removal requests are actioned within 7 business days.
• AI-assisted summaries on unclaimed listings are clearly labeled and may contain inaccuracies. We invite the business to claim and correct.
• Images on unclaimed listings. We may display a small number of images drawn from the business's own public web presence — its website, Open Graph / social-card metadata, or public social profile. We do not independently verify copyright in those images and we do not claim a license to them. If you own a business or hold rights in an image we are displaying, you can have it removed at any time, free of charge — use "Request removal" on the listing, email removals@zoeatlas.ai, or, for formal copyright takedowns, file a notice under our DMCA process. We aim to action verified takedowns quickly. We do not copy product catalogs, full galleries, menus, or images that visibly bear a third-party photographer or agency watermark, and we do not use stock-photo or review-aggregator CDNs (e.g. Yelp, TripAdvisor, Getty) as image sources.
• Reviews left on unclaimed listings are subject to the same moderation rules as reviews on claimed listings.
• See our Privacy Policy §2.4 for the privacy disclosures that apply when we seed a listing from public sources.

ZoeAtlas offers optional integration with Google Business Profile ("GBP") to help business owners manage their presence across platforms. This integration is entirely opt-in.

What connecting enables

• Import and sync your business information (name, address, hours, phone, photos).
• Display Google reviews and your average rating on your ZoeAtlas listing.
• Read and reply to Google reviews from your ZoeAtlas dashboard.
• View performance insights (views, searches, calls, directions).
• Compose and publish Google Posts directly from ZoeAtlas.

Your responsibilities

• You must be an authorized owner or manager of the Google Business Profile you connect.
• You are responsible for the accuracy of any information you sync or publish.
• All content published to Google (review replies, posts) must comply with Google's content policies and these Terms.

Disconnection and revocation

You can disconnect your GBP integration at any time from your dashboard. Upon disconnection, ZoeAtlas will immediately stop accessing your Google data and will delete any stored OAuth tokens. You may also revoke access at any time from your Google Account permissions page. Data already synced to your ZoeAtlas listing (such as business hours or photos) remains unless you delete the listing itself.

We may update these Terms from time to time. Material changes will be announced via the Service or by email. Continued use after the changes take effect constitutes acceptance.
